Terms of Service

These terms apply when you use shorebreak.net and when you hire Shorebreak to build or maintain a website. We've kept them in plain English.
1. Agreement
By using this website or engaging Shorebreak ("Shorebreak," "we," "us") for services, you agree to these Terms of Service. If you don't agree, please don't use the site or our services. "You" means the visitor or the client, as the context requires.
2. What we do
Shorebreak is a San Diego–based web design studio. We build custom websites and offer ongoing care plans (hosting, security, updates, SEO and GEO). Specific deliverables, timelines, and prices for a project are set out in the proposal or quote we agree with you.
3. Quotes, deposits and payment
- Quotes. Project pricing is confirmed in a written proposal. Build prices start at the figures shown on our pricing page; larger projects are quoted to fit.
- Deposits. Projects begin once an initial deposit is paid. The remaining balance is due before the site goes live, unless we agree otherwise in writing.
- Care plans. Care plans are billed monthly through Stripe. They require no long-term contract — you can cancel anytime. The current month is non-refundable, and cancellation stops future billing.
- Late or failed payment. We may pause work or hosting on a site whose payments are overdue, after giving you notice.
4. Ownership of your website
Once your project is paid in full, you own your website — the code, the content we create for you, and your domain. There's no lock-in. While a care plan is active, we host the live instance for you; if you leave, we'll help you take your site with you. You may opt out of us featuring your project in our portfolio by telling us in writing.
5. Your responsibilities
- Provide content, materials and feedback in a reasonable time so we can hit timelines.
- Make sure you have the rights to any text, images, logos or other materials you give us, and that they don't infringe anyone else's rights.
- Use the website and our services lawfully, and don't attempt to disrupt, attack, or gain unauthorized access to the site.
6. Third-party services
Your site may rely on third-party services (such as hosting, payment processing, fonts, or maps). Those services have their own terms, and we're not responsible for their performance or outages.
7. Disclaimer
We put real care into every build, but the website and services are provided "as is" and "as available," without warranties of any kind to the fullest extent permitted by law. We don't guarantee specific search rankings, traffic, lead volume, or business results, since those depend on factors outside our control.
8. Limitation of liability
To the fullest extent permitted by law, Shorebreak will not be liable for any indirect, incidental, special, or consequential damages, or for lost profits or data. Our total liability for any claim arising out of or relating to these terms or our services is limited to the amount you paid us for the services giving rise to the claim in the twelve (12) months before the claim arose.
9. Indemnification
You agree to indemnify and hold Shorebreak harmless from claims arising out of materials you provide to us, or your unlawful or unauthorized use of the website or services.
10. Governing law
These terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any dispute will be handled in the state or federal courts located in San Diego County, California.
11. Changes to these terms
We may update these terms from time to time. The current version is always posted here with the "last updated" date. Material changes that affect an active project will be communicated to you directly.
